Why I voted NO

These opportunities are uncertain. Site rents, concessions, debt, capital expenditure, competition and advertising demand can reduce returns.

Understand the consideration

The proposal is $1.68 cash per share. The fully franked 2c interim dividend was paid on 17 September 2026; it is separate from the scheme consideration. The expert valuation is ex-dividend.

The case for voting YES

The board, excluding David Ferrarin, recommends the scheme absent a superior proposal and subject to the independent expert’s continuing best-interests conclusion.

Grant Samuel concluded the scheme is fair and reasonable, with an equity valuation range of $1.59–$1.78 per share. The offer followed a competitive process, represents a premium to the undisturbed price and provides cash certainty. The share price may decline if the scheme fails.

Incentives: facts and questions

The booklet discloses $500,000 under CEO James Taylor’s 2026 STI and approximately $1.494m of scheme consideration for vesting rights and restricted shares, subject to disclosed terms. Possible future management equity terms were unagreed. These disclosures do not establish improper conduct (pp.12–13).
